1. Introduction

1.1 These Terms and Conditions ("Terms") govern use of the MeterQube platform operated by MeterQube Ltd ("MeterQube", "we", "us", "our"), registered in England & Wales.

1.2 By using the platform, you agree to these Terms. If you do not agree, do not use the platform.

2. Scope of Service

2.1 MeterQube is a B2B marketplace connecting warehouse owners ("Listers") with businesses seeking storage space ("Renters").

2.2 MeterQube facilitates listings, bookings, e-signing, and payments but is not a party to any warehouse rental agreement.

2.3 If conflict arises:

  1. Between Lister and Renter, the Warehouse Rental Agreement prevails.
  2. Between any user and MeterQube, these Terms prevail.

3. Accounts & Eligibility

3.1 Users must be legally registered businesses or authorised representatives.

3.2 Users must provide accurate, current information and safeguard login credentials.

3.3 MeterQube may suspend or terminate accounts for breach, misuse, or unlawful activity.

4. Platform Exclusivity & Off-Platform Dealings

4.1 All enquiries, bookings, payments, renewals, and formal notices relating to a listing introduced through MeterQube must remain on-platform.

4.2 Bypassing the platform (including direct payments or side agreements) is prohibited and may lead to suspension and a charge equal to the lost platform commission.

5. Lister Responsibilities

  • 5.1 Provide accurate, up-to-date listing details (dimensions, capacity, access hours, facilities, restrictions).
  • 5.2 Hold the legal right to license the space and maintain a safe, clean, legally compliant environment.
  • 5.3 Maintain building or property and public-liability insurance (recommended minimum GBP 2,000,000).
  • 5.4 Allow reasonable inspections and emergency access.
  • 5.5 Share written site rules (health & safety, fire, loading, PPE) through the platform.

6. Renter Responsibilities

  • 6.1 Use the premises solely for lawful storage and follow all site and safety rules.
  • 6.2 Do not store items listed as Prohibited Goods (Appendix A).
  • 6.3 Maintain goods-in-storage insurance covering full replacement value.
  • 6.4 Keep the premises tidy and vacate by the booking end date.
  • 6.5 Comply with all applicable laws and the Lister's operational instructions.

7. Booking, Payments & Fees

7.1 All bookings and payments occur through MeterQube (Stripe).

7.2 The Rental Fee displayed at checkout includes MeterQube's commission; taxes such as VAT apply where required.

7.3 Refunds and cancellations are governed by the separate MeterQube Cancellation & Refund Policy, incorporated by reference.

7.4 MeterQube or the Lister may withhold access until payments are fully cleared.

8. Overstay & Early Exit

8.1 Failure to vacate by the booking end date may incur a daily holding or overstay fee shown on the platform.

8.2 Early exit by a Renter is subject to the Cancellation & Refund Policy.

8.3 If a Lister ends a booking early without valid cause, the Renter receives a pro-rata refund of unused days already paid, in accordance with the Cancellation & Refund Policy.

9. Security, Access, Maintenance & Utilities

  • 9.1 Access: Lister provides keys, codes, or escorted access as stated in the listing. Credentials must not be shared or duplicated.
  • 9.2 Inspections: Lister may inspect on reasonable notice, or without notice in emergencies or suspected breach.
  • 9.3 Security: Lister maintains reasonable physical security; Renter secures goods and premises during and after use.
  • 9.4 Maintenance & Utilities: Lister keeps the premises fit for storage and maintains essential utilities (lighting, ventilation, temperature control if listed). Utilities are included unless separately metered; metered utilities are billed fairly through the platform.

10. Insurance

10.1 Lister Insurance: Maintain public-liability (minimum GBP 2 million) and property or building cover.

10.2 Renter Insurance: Maintain goods-in-storage insurance for full replacement value.

10.3 Provide proof of insurance upon request; failure may result in denied access or termination.

11. Damages & Additional Charges

11.1 Renters are liable for damage caused by their goods, employees, or agents (fair wear and tear excepted).

11.2 Listers are liable for direct loss to a Renter's goods arising from structural failure or Lister negligence.

11.3 Reasonable service charges (e.g., handling, overtime, cleaning due to misuse) may be invoiced via the platform with supporting evidence.

12. Prohibited Goods

12.1 Prohibited Goods include hazardous, illegal, perishable, living, waste, or high-value items (see Appendix A).

12.2 Storing such goods constitutes a material breach and may lead to immediate termination, removal of goods at the Renter's expense, and claims for resulting losses.

13. Legal & Ethical Compliance

13.1 All users must comply with applicable UK laws (health and safety, fire safety, environmental, equality, customs, or HMRC).

13.2 Users must uphold the Modern Slavery Act 2015, Bribery Act 2010, and Equality Act 2010.

13.3 Breach of this clause is a material breach entitling MeterQube or the other party to immediate termination.

14. Indemnities

14.1 Each user indemnifies MeterQube Ltd against claims, fines, or costs arising from:

  1. (a) their breach of these Terms or applicable law;
  2. (b) their negligent acts or omissions; or
  3. (c) any attempt to circumvent the platform.

15. MeterQube Liability

15.1 MeterQube is not responsible for the premises, goods, or the Lister-Renter contract.

15.2 MeterQube excludes liability for indirect or consequential losses (including profit, revenue, opportunity, or business interruption) and is not liable for loss of data or service interruptions.

15.3 Total aggregate liability to any user is limited to the total fees paid by that user to MeterQube in the 12 months preceding the claim.

15.4 Nothing limits liability for death or personal injury due to negligence or for fraud.

16. Force Majeure

16.1 No party (including MeterQube) is liable for delays or failures caused by events beyond reasonable control (including natural disaster, pandemic, war, strike, outage, cyber-attack, or legal order).

16.2 If such an event lasts 30 days or more, affected bookings may be cancelled without liability; related refunds are handled per the Cancellation & Refund Policy.

17. Disputes & Governing Law

17.1 Users must first attempt good-faith resolution directly.

17.2 Failing that, these Terms are governed by the laws of England and Wales, with exclusive jurisdiction of the English courts.

17.3 Optional arbitration for enterprise or high-value contracts may be agreed by written addendum.

18. Data Protection & Privacy

18.1 MeterQube is an independent data controller under the UK GDPR and Data Protection Act 2018.

18.2 We share necessary booking information between Lister and Renter to enable transactions and retain records for compliance and dispute resolution.

18.3 Processing is detailed in our Privacy Policy, available on the platform.

19. Intellectual Property

19.1 All platform content, software, and branding belong to MeterQube Ltd.

19.2 Users may not copy, scrape, reverse-engineer, or reproduce the platform without written consent.

19.3 MeterQube may use anonymised or authorised listing data, ratings, or reviews for marketing purposes.

20. Changes to These Terms

20.1 MeterQube may update these Terms from time to time.

20.2 Continued platform use after updates constitutes acceptance of the revised Terms.

20.3 The effective date appears at the top of this document.

Appendix A - Prohibited Goods (Detailed)

  • A.1 Hazardous or dangerous materials (flammable, explosive, toxic, radioactive).
  • A.2 Illegal or restricted goods (controlled substances, firearms, counterfeit, stolen, or IP-infringing items).
  • A.3 Perishable or biological goods unless expressly agreed for cold storage.
  • A.4 Living creatures, human or animal remains, or biological waste.
  • A.5 Cash, negotiable instruments, precious metals, or high-value artworks.
  • A.6 Waste or goods prohibited by customs, excise, or environmental law.

Appendix B - Insurance Requirements

  • B.1 Lister: Public-liability insurance (minimum GBP 2 million) and property or building insurance.
  • B.2 Renter: Goods-in-storage insurance covering full replacement value.
  • B.3 Evidence of cover must be provided upon request.
  • B.4 MeterQube does not insure premises or goods.

Appendix C - Access, Security & Inspections

  • C.1 Access arrangements: as per listing (keys, codes, escorted access).
  • C.2 Security: Lister maintains physical security; Renter secures premises when in use.
  • C.3 Inspections: Reasonable notice during business hours; without notice for emergencies.
  • C.4 Emergency Access: Lister or emergency services may enter without notice during emergencies and inform the Renter afterward.
